Does my business need to publish?
In the state of Pennsylvania, several business entities are required to fulfill a publishing requirement. These types of entities include: all domestic and foreign corporations, both for profit and nonprofit, as well as DBAs. LLC’s are not required to publish, although there is an advertising form if you chose to do so.
Where must the ad be published?
The ad must be published in two newspapers in the county of your registered agent. The newspapers must be of general circulation and one must be a legal journal.
What must the ad include?
The ad must state the name of your corporation and that it has been organized under the Pennsylvania Business Corporation Law of 1988.
What is the deadline to publish the ad?
In the state of Pennsylvania, there is no deadline to publish the legal notice. In fact, you can place the publishing in the newspaper before the entity is even formed. Keep in mind if the name is not accepted, you will have to republish. After you receive the affidavits from the newspaper, keep them with your records, they do not get filed with the Pennsylvania Department of State.
