Publishing Requirements for New Corporations and LLCs in Nebraska

In the state of Nebraska, the Secretary of State requires that domestic Corporations & Limited Liability Companies publish a notice in a local newspaper.

Corporations– Domestic Corporations in Nebraska that are newly formed, have amended or merged, or dissolved, must publish a notice in a legal newspaper of general circulation for three consecutive weeks. The ad must be published in the county of the registered office or the principal office is located. The ad should include the following information:

  • The corporation name
  • The number of shares the corporation is authorized to issue
  • The street address of the corporations registered office
  • The name of the registered agent
  • The name and address of each incorporator

Limited Liability Companies– Domestic Limited Liability Companies that are newly formed, have amended or merged, or dissolved, must publish a notice in a legal newspaper of general circulation for three consecutive weeks. The ad must be published near the designated office of the LLC. The ad should include the following information:

  • The name of the limited liability company
  • The street address of the designated office
  • The purpose of the LLC

The Nebraska Secretary of State recommends you fulfill the publishing requirement as soon as the business is formed or changed, however there are no penalties if you do so. To show proof of the publication, file your affidavits with the Secretary of State for no additional fees.
