For starters the article must include the name of the limited liability company. Followed by the date of filing for the Articles of Organization with the Secretary of State. The county within New York State, where the office of the limited liability company is to be based. A proclamation that the secretary of state has been nominated as agent of the limited liability company upon whom process against it may be served and the post office address where the secretary of state is to mail a copy of any process against it served to him or her. If the limited liability company is to make use of a registered agent, his/her name and their address within New York State, and a statement that the registered agent is to be the agent of the limited liability company upon whom process against it may be served. The character or purpose of the business of such limited liability company must be stated. If the limited liability company will have a specific date of dissolution in addition, the latest date upon which the limited liability company is to dissolve must be included.
Failure to cause such notice to be published and to file such proof within one hundred twenty days of the effective date of the articles shall prevent the limited liability company from maintaining any action or special proceeding in New York State unless/until the limited liability company deems such notice to be published and files such proof of publication.
